SPONSORSHIP AGREEMENT

Sponsor acknowledges and agrees to be bound by the rules and regulations set forth herein and by such amendments or additional rules and regulations that may be established by The Minnesota Technology Association (MnTech). Sponsorship is officially confirmed upon acceptance of the terms & conditions within this Agreement and sponsorship payment by credit card or check.

 

LOGO USE

MnTech has the right to use the sponsor’s logo and link to sponsor site from MnTech websites associated with the event. Sponsor warrants this does not violate the intellectual property or contractual rights of any third party. In turn, MnTech grants sponsor the right to link to the event on the MnTech website. Sponsor agrees that its website will not contain libelous, defamatory, obscene, pornographic, abusive, or unlawful material.

The MnTech event website, including any content or information contained therein are provided “AS IS” with no representation or warranties of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

 

DISPLAY TABLE IF APPLICABLE
If Sponsorship deliverable includes a display table, MnTech will provide a table with a cloth and two chairs. All additional furnishings, power, AV, shipping, setup, teardown and other services are the responsibility of the sponsor. Sponsors must make provision for safeguarding their materials, equipment, and displays at all times. The sponsor shall comply with all federal, state, and local laws and ordinances and regulations concerning the environment and hazardous materials. Each sponsor shall be responsible for compliance with the Americans with Disabilities Act (ADA) within its exhibit space, including the provision of auxiliary aids and services as needed.

 

SPONSORSHIP CANCELLATION

In the event of sponsorship cancellation, a portion of Sponsor fee will be refunded if written notification is received by MnTech as per the following schedule:

  • 28 weeks prior to event start: 75%
  • 20 weeks prior to event start: 50%
  • 12 weeks prior to event start: 25%
  • No refunds will be given for cancellations less than 12 weeks prior to event start.

 

IMPOSSIBILITY

Neither Party shall be liable for the non-performance of its obligation under this Agreement if such performance is caused by an act of God, war, government regulations, natural disaster, strikes, civil disorder, terrorism, utility outages, communication outages, or other circumstances –to the extent that such circumstance makes it illegal or impossible to hold the event/program. The ability to terminate this Agreement without liability, pursuant to this paragraph is conditioned upon the delivery of written/email notice to the other Party within 10 days of the Force Majeure occurrence.

 

INDEMNIFICATION

Sponsor shall indemnify and hold harmless MnTech and their assignees, and its and their directors, officers, employees and agents, and defend any action brought against same with respect to any claim, loss, demand, cause of action, debt, liability, penalty or fines, including attorneys’ fees, to the extent based upon a claim that the Sponsor name and/or logo infringes or violates any trademark or other intellectual property rights of any third party. Each Party shall be responsible for its own acts and behaviors and the results thereof.

 

OTHER

MnTech reserves the right to make changes to sponsorship benefits and deliverables to reflect the dynamic nature of event planning throughout the year. Significant changes, if any, will be communicated accordingly by MnTech.
